Terms of Service

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.

StagedAI provides tools to upload photographs of real property and generate AI-modified images, including virtual staging, redesign, decluttering, enhancement, and related outputs ("Outputs"). Outputs are generated using third-party artificial intelligence models (including but not limited to Google Gemini and models provided via Fal.ai) and are provided for illustrative and marketing purposes only.

Outputs are not guaranteed to be accurate, structurally feasible, to scale, or free of artifacts, and must not be relied upon as architectural, engineering, appraisal, valuation, legal, or financial advice. You are solely responsible for reviewing, verifying, and, where legally required, disclosing that any image is a virtually staged or AI-modified representation before publishing or distributing it in any real estate listing, MLS, advertisement, or offering document. Failure to make such disclosures where required by law, MLS rules, or regulatory guidance is solely your responsibility and StagedAI disclaims all liability arising from your failure to disclose.

Certain features require a paid subscription plan and/or the consumption of credits, billed and processed by Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel.

ALL FEES AND CREDIT PURCHASES ARE FINAL AND NON-REFUNDABLE, in whole or in part, except where required by applicable law. Unused credits expire at the end of each billing cycle unless otherwise stated on the pricing page and do not roll over, carry cash value, or convert to a refund upon cancellation, downgrade, or termination of your account for any reason, including termination by us for breach of these Terms.

You may cancel your subscription at any time, effective at the end of the current billing period; no partial-period or pro-rata refunds will be issued. We may change prices or credit allotments prospectively upon notice. Failure to pay may result in immediate suspension or termination of the Service without further notice.

"User Content" means any photograph, image, prompt, text, or other material you upload or submit to the Service. You retain all ownership rights you hold in your User Content. You grant StagedAI, and its service providers (including AI model providers and cloud storage providers), a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, and create derivative works (including Outputs) from your User Content solely to provide, maintain, secure, and improve the Service.

You represent and warrant that: (a) you own or have all necessary rights, consents, and licenses to submit the User Content and grant the foregoing license; (b) the User Content and your use of the Service do not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights; and (c) you have obtained any consents required from any identifiable person depicted in the User Content or from the property owner, as applicable.

Subject to your compliance with these Terms and full payment of applicable fees, we grant you a non-exclusive, worldwide, perpetual license to use, reproduce, and publicly display Outputs generated from your own User Content for your business and marketing purposes, including real estate listings. StagedAI and its licensors retain all right, title, and interest in and to the Service itself, including the underlying software, models, prompts, templates, and any improvements, excluding Outputs licensed to you under this Section.

Because Outputs are generated by third-party AI systems, we make no representation regarding, and disclaim all responsibility for, the copyrightability of Outputs or any third party's claim that an Output infringes their rights (including claims arising from AI model training data). You assume all risk associated with your use and distribution of Outputs.

You must not, and must not permit any third party to:

• Upload any image depicting a property, person, or content you do not have the right to use, or that is unlawful, defamatory, obscene, or infringing;
• Use the Service to create materially misleading representations of a property's condition, size, layout, or features in connection with any offer, sale, lease, appraisal, or financing transaction, or in violation of fair housing, consumer protection, or advertising laws;
• Use the Service to generate content depicting real, identifiable minors in a manner that violates law, or any sexually explicit, hateful, violent, or otherwise objectionable content;
• Reverse engineer, decompile, scrape, or attempt to extract the underlying models, source code, or training data of the Service;
• Use automated means to access the Service beyond documented API usage, circumvent rate limits, credit metering, or access controls, or resell, sublicense, or provide the Service to third parties as a bureau or managed service without our prior written consent;
• Introduce malware, attempt unauthorized access, or interfere with the integrity or performance of the Service; or
• Use the Service in violation of any applicable law or regulation, including export control and sanctions laws.

We may, in our sole discretion and without liability, remove content, suspend accounts, or terminate access for any actual or suspected violation of this Section, without refund.

The Service relies on third-party infrastructure and AI model providers (including Stripe for payments, cloud storage and hosting providers, and AI model providers such as Google and Fal.ai). We do not control and are not responsible for the availability, accuracy, outputs, or security practices of these third parties. Your use of the Service may be subject to the additional terms of these providers, and outages or changes by such providers may affect or interrupt the Service without liability to us.

The Service, including its design, text, graphics, logos, and software, is protected by copyright, trademark, and other intellectual property laws and is owned by StagedAI or its licensors. If you believe content available through the Service infringes your copyright, send a notice compliant with the Digital Millennium Copyright Act to the contact address below, including identification of the work, the infringing material, your contact information, and a statement of good faith belief and accuracy under penalty of perjury. We may terminate accounts of repeat infringers.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STAGEDAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY OUTPUT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL STAGEDAI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO STAGEDAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless StagedAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your User Content; (b) your use or misuse of the Service or any Output; (c) your breach of these Terms; (d) your violation of any law or the rights of a third party; or (e) any dispute between you and any third party (including a property owner, buyer, tenant, or regulator) relating to a listing or transaction in which an Output was used.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for suspected violation of these Terms, non-payment, or risk to the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately, any unused credits are forfeited without refund, and Sections 3–11 and 13–17 survive termination.

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Except for claims that qualify for small claims court or claims for injunctive relief to protect intellectual property rights, you and StagedAI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court, administered by a recognized arbitration body under its applicable commercial arbitration rules, conducted on an individual basis.

YOU AND STAGEDAI EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Any arbitration will be conducted on an individual basis only, and the arbitrator may not consolidate more than one person's claims. If this class action waiver is found unenforceable, the remainder of this arbitration Section shall remain in force with respect to individual claims to the fullest extent permitted by law.

These Terms and any dispute not subject to arbitration shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles, and the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any such dispute.

We may modify these Terms at any time by posting an updated version with a revised "Last updated" date. Material changes will be notified via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue any part of the Service at any time without liability.

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and StagedAI regarding the Service and supersede all prior agreements. Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
